About Redcliff and the Site.
Redcliff Logistics is a US-based logistics and sourcing operator. The Site describes our services, presents industry insights, and provides ways to request a quote, request a sample, request shipment-status information, or otherwise contact us.
The Site itself does not constitute an offer to perform services, a binding quotation, or a contract. Any logistics or sourcing services we provide are governed by a separate written agreement and our applicable service-specific terms and conditions. Acceptable use.

You represent that any information you submit is accurate, that you have the right to submit it, and that submitting it does not violate any third party rights or any agreement you have with anyone else.
Intellectual property.

To the maximum extent permitted by applicable law, Redcliff's total aggregate liability arising out of or relating to these Terms or your use of the Site shall not exceed one hundred United States dollars (US$100). The limitations in this Section do not apply to liability that cannot be excluded or limited under applicable law.
Indemnification.
You agree to indemnify, defend, and hold harmless Redcliff and its affiliates and their respective officers, directors, employees, and agents from and against any claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Site in violation of these Terms; (b) any information you submit through the Site that is false, misleading, infringing, or otherwise unlawful; or (c) your violation of any applicable law or any third-party right.
Governing law and jurisdiction.
These Terms and any dispute arising out of or relating to them or your use of the Site shall be governed by the laws of the State of Utah, United States, without regard to its conflict of law principles. The exclusive forum for any dispute shall be the state or federal courts located in Salt Lake County, Utah, and you consent to the personal jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Changes to these Terms.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Material changes will be highlighted in a prominent notice on the Site for at least 30 days following the change. Your continued use of the Site after the effective date of any change indicates your acceptance of the revised Terms.
Miscellaneous.
- These Terms, together with the Privacy Policy and Cookie Policy referenced here, constitute the entire agreement between you and Redcliff regarding the Site and supersede any prior understanding.
- If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
- Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
- You may not assign these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of business assets.
